Fleet Assessment Terms of Use

By checking the acknowledgment box on our contact form and requesting a Fleet Efficiency Assessment (“Assessment”), you (“Recipient”) agree to the following terms with LogiLab AI (“LogiLab AI”), currently operating pre-incorporation and pending formation as a North Carolina limited liability company. These terms apply in addition to the Website Terms above.

FA-1. Purpose

LogiLab AI will conduct a fleet efficiency benchmarking analysis based on fleet and route information you provide. The Assessment compares your fleet profile against published industry averages and produces an efficiency scorecard (“Scorecard”). The Assessment is a benchmarking exercise only.

FA-2. Not Professional Advice — No Reliance

The Assessment and Scorecard are provided for informational and marketing purposes only. They do not constitute professional advice, operational recommendations, routing guidance, or a plan of action of any kind.

By requesting an Assessment, you expressly acknowledge that:

(a) The Scorecard contains estimates based on industry benchmarks and the fleet profile you provide, and may not reflect your actual operational conditions.

(b) The Scorecard is not intended to be acted upon operationally and should not be used as the basis for any routing, dispatch, staffing, or other operational decision.

(c) Any operational decisions you make, whether or not related to the Scorecard, are made solely at your own risk and judgment.

FA-3. Limitation of Liability

To the fullest extent permitted by applicable law, LogiLab AI’s total liability to you arising out of or related to the Assessment — whether in contract, tort, negligence, or otherwise — shall not exceed zero dollars ($0.00).

In no event shall LogiLab AI be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, loss of accounts, or delivery failures, even if LogiLab AI has been advised of the possibility of such damages.

FA-4. Indemnification

You shall indemnify, defend, and hold harmless LogiLab AI and its members, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

(a) Any operational decision you make in connection with or following receipt of the Assessment or Scorecard; or

(b) Your breach of these terms.

By requesting an Assessment, you represent that you have the right to share the fleet and route information you provide to LogiLab AI.

LogiLab AI agrees to:

(a) Keep your fleet and route data confidential and not disclose it to third parties without your consent, except as required by law.

(b) Use your data solely to produce the Assessment. LogiLab AI may use anonymized, aggregated derived insights — with no information attributable to you — for internal research and product development.

FA-6. No Obligation to Proceed

Requesting or receiving an Assessment does not obligate either party to enter into any further agreement, pilot program, or commercial relationship.

FA-7. No Warranty

The Assessment is provided “as is” without warranty of any kind. LogiLab AI makes no representation that the Scorecard is accurate, complete, or suitable for any purpose. All estimates and benchmarks are sourced from publicly available industry data and are subject to material variance from your actual conditions.

FA-8. Governing Law

These Fleet Assessment Terms are governed by the laws of the State of North Carolina. Any dispute arising under these terms shall be resolved exclusively in the state or federal courts located in Mecklenburg County, North Carolina.
